Origin Enterprises PLC, o companie irlandeză de Agri - Services au anunţat recent achiziţia a două companii româneşti şi anume Redoxim din Timişoara şi Comfert din Bacau. În ambele cazuri Origin Enterprises a agreat să achiziţioneze 100% din capitalul social al companiilor. Tranzacţiile reprezintă investiţia iniţială a Origin Enterprises în România în valoare de euro 54.5 milioane. 

Comentand achizitia CEO Origin Enterprises PLC, Tom O’Mahony a declarat: “Redoxim şi Comfert reprezintă o potrivire strategică excelenta pentru Origin prin furnizarea de expertiză complementară, extinderea geografică semnificativă şi reputaţia puternică în ferme. Compania are o istorie care merge înapoi la începutul mişcării cooperativelor de fermieri din Irlanda în secolul al XIX-lea, când predecesorul său a fost format pentru a furniza o gamă de produse şi servicii de calitate la preţuri accesibile indisponibile anterior majorităţii fermierilor irlandezi. Fondatorul companiei, preşedintele şi tatăl mişcării co-op irlandeze, Sir Horace Plunkett, a inventat expresia „agricultură mai bună, afaceri mai bune, viaţă mai buna“. În timp ce acest lucru a fost rostit în urmă cu mai mult de 120 de ani, încă este adevărat astăzi. 

Origin Enterprises PLC dealungul deceniilor şi-a menţinut atenţia asupra fermierilor. Origin Enterprises PLC în fiecare an are 60.000 loturi experimentale la 10 culturi în 30 de ferme demonstrative. Loturile experimentale sunt în prezent realizate în Marea Britanie de către Agrii, în Polonia de Dalgety Agra Polska şi în Ucraina de Agroscope. Toate aceste companii sunt deţinute de Origin Enterprises. De exemplu, în Marea Britanie Origin Enterprises PLC prin Agrii sprijină şi lucrează cu peste 40% din fermierii din producţia de cereale. 

Acum intenţionează să dezvolte ferme demonstrative în România, în scopul de a efectua teste similare. Origin Enterprises PLC a cheltuit 25 de milioane de euro în investiţii în cercetare aplicată, dezvoltare şi suport tehnic. „Obiective clare au fost stabilite pentru transferul de cunoştinţe în fermă care subliniază adoptarea tehnologiilor integrate şi cu valoare adăugată.” - a declarat CEO - Tom O Mahony.

Origin Enterprises PLC is now looking for a Country Head to provide strategic management and direction to the Business in Romania.

 

PURPOSE OF THE ROLE

The Country Head Romania will be providing the leadership, vision, strategy and general management skills needed to grow Origin Enterprises PLC business in Romania thus providing added value for shareholders, colleagues and customers.

The Country Head will be responsible for the development and implementation of a business strategy designed to achieve financial and operational targets.

The Country Head will be responsible for promoting and advancing Origin’s culture, vision and mission ensuring a growth in revenues and profitability for the company and its clients in line with Group Strategy.

The Country Head will need to work very closely with the existing senior management of each of the two companies already acquired or will be acquiring in the future, as well as with other Country Heads

 

   PRINCIPAL ACCOUNTABILITIES

Key Accountabilities will include (but are not restricted to):

                ·         Working closely with incumbent management teams of Origin’s Romanian businesses

·         Leadership, development and performance management of the Romanian team.

·         Full P&L responsibility for the Origin’s Romanian business

·         Ensure growth is achieved in a responsible and profitable manner in line with the company’s culture and mission to deliver value to its customers.

·         Working with the management team, the Country Head will nurture and develop new and existing customers, partnerships and other business opportunities.

·         Demonstrate executive management skills with proven ability to interact with and lead divisional managers to deliver on business objectives and strategy.

·         Identify new business opportunities for growth and expansion in consultation with the corporate development team.

 

·         Business Partnering – the Country Head should build a strong, positive and supportive relationship with the CFO and senior management team.  This includes a “no surprises” culture.

As part of its overall strategic plan following exchanging on two transactions in Romania Origin is now looking for a Finance Director role in the business.

 
 
PURPOSE OF THE ROLE
 

The FD will play a pivotal role in enabling and supporting the change process for these acquisitions as they bed into the new organisation and in facilitating the business to capitalise on its potential.

The FD will be a key member of the senior executive team and will have direct accountability for the financial performance and reporting of the business.  In performing this role the FD is responsible for ensuring that all control and compliance processes (local as well as group) are in place and maintained to a plc standard.

This role must also ensure that strategic and operational decisions taken across the business are fully informed and driven by accurate management information which will require robust financial controls and systems.

 

                            PRINCIPAL ACCOUNTABILITIES

Key Accountabilities will include (but are not restricted to):

     Financial Control

·         Leadership, development and performance management of the finance team.

·         Control Framework – the role must ensure there are strong and robust financial controls in place in order to safeguard the assets of the business.

·         Local Compliance – the FD will be responsible for ensuring that all local compliance regulations are adhered to.  This will include statutory reporting, tax returns, statistical returns and company secretarial requirements.  These will be filed in a complete, accurate and timely manner.

·         Group Reporting – the FD will ensure that all submissions to the group are accurate, timely and prepared in accordance with Group/IFRS standards.

·         Manage local treasury requirements in terms of cash-flow management, currency risk management and local banking relationships (in conjunction with the Group Treasurer).

·         Working Capital Management – this role will have a key part to play in terms of working capital management, more directly in terms of debtors/creditors management.

·         Group Finance Liaison – the role will be the primary contact point for Group Finance queries crossing finance, treasury and tax disciplines.

·         IT Systems - ensure the financial integrity and control environment around all IT systems.  The FD should support the development and implementation of system improvements.

·         Payroll – ensure there are adequate controls in place around payroll systems.

Business Partnering/Other

·         Business Partnering – the FD should build a strong, positive and supportive relationship with the senior management team.  This includes a “no surprises” culture.

·         Financial Planning and Analysis – the business needs to be underpinned by strong budgeting, forecasting and planning processes implemented and managed by the FD.

·         Develop and report on financial and non-financial KPI’s.

·         Provide financial analysis to drive business performance and assist with decision making.

·         Contribute to and support ongoing growth strategy.

·         Support ad-hoc business projects as they arise.

 

 

CANDIDATE PROFILE

Qualifications

Qualified accountant with equivalent of ACA/ACCA professional qualification

 

Experience and technical skills

Minimum of 5-10 years relevant experience.

Preferably “Big 4” accountancy background.

Must have an excellent knowledge of local compliance requirements in terms of statutory and tax.

Required to have a strong understanding and knowledge of the reporting and control frameworks required around a multinational plc.  This includes reporting under International FRS.

Strong process and control understanding of the workings of a finance department including GL, AP and AR.

Fluent English speaker.
